Security Licensing Services
The aim of security licensing is to assist the governing authority to prevent companies from issuing an excessive number of securities (including corporate stocks, bonds, stock warrant certificates, certificates of stock purchase payment, and beneficiary certificates, etc.). The Bank is entrusted to examine whether the content of the securities conforms to the law, and whether the necessary documents have been complete. Every sheet of the securities that have been examined by the Bank needs to be embossed with steel seal and the date of licensing to prevent being fabricated. The Trust Department of the Bank is approved by the governing authority to handle the security licensing services. Required Documents:
1. The specimen signature card.
2. Licensing contract (two copies).
3. Application for security licensing services.
4. One copy of the company’s organizational regulation.
5. One copy of the memo of board meeting.
6. One copy of the list of shareholders, board members, and supervisors.
7. The original documents approved by the governing authority (including company registration form, change registration form, etc.) and one copy of these forms. The original documents will be returned after verification.
8. Six copies of the sample of each kind of securities issued. For public companies or OTC companies, please provide eight copies of the sample of each kind of securities issued.
9. The Bank will provide the blank forms for the above documents No.1 – No.3. For the copies of the documents required from No.4 – No.7, please affix the seals of the company and the responsible person.
